  • Represented ESG investment management and business intelligence/analytics company (organized as a Qualified Opportunity Fund) in connection with its Series A preferred equity financing and related corporate matters, including organization of subsidiary Qualified Opportunity Zone Businesses, implementation of equity compensation arrangements for executives and advisory board members, and assistance with regulatory compliance matters.
  • Represented advised numerous individuals and investment managers in formation and funding of Qualified Opportunity Funds, Qualified Opportunity Zone Businesses, and related Opportunity Zone investments, including equity financing of development projects in San Antonio, TX and Minneapolis, MN, and structuring of real estate redevelopment project in Bushwick, Brooklyn.
  • Represented new business created to provide services and investment capital to health care-related businesses, particularly those with emphasis on addressing Social Determinants of Health, in Qualified Opportunity Zones. Initially advised on organization and structuring of the business (including formation of Qualified Opportunity Fund and Qualified Opportunity Zone Business) and continue to represent client in connection with commercial contracts (such as SaaS and Master Service Agreements), investments in early-stage companies, and other general corporate and commercial matters.
  • Represented a leading global branded footwear company, as borrower, in connection with a new $500 million senior unsecured revolving credit facility with a syndicate of lenders led by Bank of America, N.A., as administrative agent and joint lead arranger.
  • Represented an owner of a natural gas trading and LNG development business in connection with her buyout of the company’s other owners and lenders and discussions with potential new third-party equity and debt investors.
  • Represented the CEO of a retail industry consulting firm in connection with purchase of assets of the business from retiring founder. Continue to represent the business on a variety of general corporate and commercial matters.
  • Represented purchaser of two interstate natural gas pipeline and storage companies and subsequent initial public offering of the combined business as a master limited partnership.
  • Represented purchaser in acquisition of natural gas and liquids exploration and production business and subsequent divestiture of business in three separate auction/sale processes.
  • Represented majority shareholder of public luxury watch company in acquisition of all outstanding minority shares in ongoing private transaction, including defense of Delaware appraisal rights proceeding.
  • Represented branded hospitality company in acquisition, disposition, debt financing (and refinancing), development, restructuring and flag change of numerous hotel and resort properties.
